Terms of Service

1. Agreement to terms

These Terms of Service (“Terms”) are a contract between you and NINGYAO US LLC (“NINGYAO”, “we”). By backing the MagRec Kickstarter, ordering a MagRec device, downloading our applications, or otherwise using the Services, you agree to these Terms.

2. Eligibility

You must be at least 18 years old and legally able to enter a binding contract. You must comply with all applicable laws in your jurisdiction when using MagRec — including, importantly, laws governing the recording of voice and telephone calls.

3. Hardware orders and Kickstarter rewards

• Kickstarter pledges are governed by the Kickstarter Terms of Use as well as these Terms.
• Estimated shipping dates are estimates, not guarantees, and may change as we manufacture.
• Title and risk of loss transfer on delivery to the carrier.
• Returns: 30-day return window from delivery. Devices must be in resalable condition. We cover return shipping in most countries; you are responsible for any import duties already paid.

4. Software license

NINGYAO grants you a personal, non-transferable, revocable license to use the MagRec applications and firmware solely with a MagRec device you own. You may not reverse engineer, redistribute, or sublicense the software except to the extent such restriction is prohibited by applicable law.

5. AI services and free quota

Each MagRec device includes 600 AI minutes per month for transcription, translation, and summarization at no additional cost. Unused minutes do not roll over. We may adjust the free quota with reasonable notice. Paid plans (“Pro”) unlock additional features and quotas as described on our pricing page.

6. Your content

You retain all rights to recordings, transcripts, translations, and other content generated through your use of the Services (“Your Content”). You grant NINGYAO a limited license to process Your Content solely to provide the Services you have requested. We do not use Your Content to train AI models.

7. Acceptable use

You agree not to use the Services to:

• Record any person without the consent required by applicable law in your jurisdiction.
• Violate any law, regulation, or third-party right.
• Interfere with or compromise the integrity or security of the Services.
• Resell or commercialize the Services without our written agreement.

8. Service availability

We aim for high availability but do not guarantee uninterrupted service. Maintenance, third-party outages (including AI model providers), and force-majeure events may cause temporary interruptions.

9. Warranties and disclaimers

The MagRec device is sold with a limited hardware warranty, the scope of which is described separately at purchase. To the maximum extent permitted by law, the Services are otherwise provided “as is”. We do not warrant any particular accuracy of transcription or translation; recognition quality depends on language, accent, speaking speed, and ambient noise.

10. Limitation of liability

To the maximum extent permitted by applicable law, NINGYAO's aggregate liability arising from or related to the Services is limited to the amount you paid us for the device or Services in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Governing law and disputes

These Terms are governed by the laws of the State of [TBD — confirm registered jurisdiction] without regard to its conflict-of-laws principles. The exclusive forum for disputes is the state and federal courts located in that jurisdiction. Where mandatory consumer law in your country of residence provides stronger protections, those provisions apply.

12. Changes

We may update these Terms. Material changes will be announced through the Services or by email. Continued use of the Services after the effective date of the changes constitutes acceptance.
